Welcome to Scholarship Suite (“we,” “us,” “our,” or the “Service”). These Terms and Conditions (“Terms”) govern your access to and use of the Scholarship Suite web application, AI-powered agents, and all related services available at scholarshipsuite.com.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Scholarship Suite is a software-as-a-service (SaaS) platform that helps students research, track, and apply for scholarships. The Service includes:

  • Scholarship Discovery Agent — AI-powered matching of scholarships to your student profile
  • Essay Strategy Agent — AI-generated brainstorming of essay angles and approaches
  • Essay Review Agent — AI-powered critique and feedback on essay drafts
  • Recommendation Package Agent — AI-generated templates for requesting recommendation letters
  • Application Strategy Agent — AI-powered prioritization and scheduling of scholarship applications
  • Scholarship Tracker — Tools for organizing and tracking scholarship application status
  • Email Reminders — Optional daily deadline reminder emails

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 13 years of age to use this Service. If you are between 13 and 18 years old, you represent that your parent or legal guardian has reviewed and consents to these Terms on your behalf. We reserve the right to request proof of parental consent at any time.

2.2 Account Creation

To use the Service, you must create an account by providing a valid email address, your full name, and a password. You agree to:

  • Provide accurate, current, and complete information during registration
  • Keep your login credentials confidential and secure
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activity that occurs under your account

2.3 One Account Per Person

Each individual may maintain only one account. We reserve the right to terminate duplicate accounts.

3. Acceptable Use

3.1 Permitted Use

You may use the Service solely for your personal, non-commercial scholarship research and application purposes.

3.2 Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose
  • Submit AI-generated essay content as your own original work to scholarship committees without substantial personal revision and contribution (see Section 5)
  • Misrepresent your qualifications, academic record, or personal information in your student profile
  • Share your account credentials with others
  • Scrape, crawl, or use automated tools to extract data from the Service
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use the Service to develop a competing product
  • Upload content that is defamatory, obscene, or infringes on the rights of others
  • Circumvent any rate limits, usage restrictions, or security measures

3.3 Profile Accuracy

You are responsible for the accuracy of information in your student profile. AI agent outputs (scholarship matches, eligibility assessments, essay feedback) are only as reliable as the information you provide.

4. AI-Powered Features — Important Disclaimers

4.1 AI Agents Are Not Professional Advisors

The AI agents in Scholarship Suite provide informational suggestions only. They do not constitute:

  • Professional academic counseling or advising
  • Legal advice regarding scholarship eligibility or requirements
  • Financial advice regarding scholarship selection or funding decisions
  • Guaranteed assessment of your scholarship eligibility or competitiveness
  • Professional editing or writing services

4.2 No Guarantee of Accuracy

AI-generated content, including scholarship matches, eligibility assessments, match percentages, essay feedback, and strategy recommendations, may contain errors, omissions, or inaccuracies. Specifically:

  • Scholarship information may be outdated or incorrect. Deadlines, amounts, requirements, and URLs are provided as reference only. Always verify details directly with the scholarship provider.
  • Match percentages are estimates, not guarantees of eligibility or likelihood of winning.
  • Essay feedback is subjective and reflects AI analysis, not the judgment of any specific scholarship reviewer.
  • Recommendation letter templates are starting points that must be personalized. Never submit AI-generated templates without substantial modification.

4.3 Your Responsibility to Verify

You are solely responsible for:

  • Verifying all scholarship details, deadlines, and requirements directly with the issuing organization
  • Confirming your eligibility for any scholarship before applying
  • Reviewing and substantially editing any AI-generated content before use
  • Meeting all application deadlines and requirements
  • The accuracy and originality of all materials you submit to scholarship providers

4.4 Third-Party Scholarship Links

The Service may display URLs linking to external scholarship provider websites. We do not control, endorse, or assume responsibility for the content, privacy practices, or availability of these third-party sites. Access them at your own risk.

5. Academic Integrity and Essay Content

5.1 Your Essays, Your Responsibility

Scholarship Suite's Essay Strategy and Essay Review agents are designed to help you brainstorm and improve your own writing. The Service is not a ghostwriting tool.

5.2 AI-Assisted vs. AI-Written

You acknowledge and agree that:

  • AI-generated essay strategies, angles, and feedback are meant to inspire and refine your own ideas
  • Submitting AI-generated text as your own original work may violate the academic integrity policies of scholarship providers, schools, and other institutions
  • You are solely responsible for ensuring that your submitted essays comply with all applicable academic integrity standards and scholarship rules
  • We are not liable for any consequences arising from how you use AI-generated content

5.3 Recommendation Letter Packages

The Recommendation Package Agent generates draft email templates and letter frameworks to help you communicate with your recommenders. These are starting points only. The actual recommendation letter should be written by your recommender, not generated by AI.

6. Intellectual Property

6.1 Your Content

You retain full ownership of all content you create and upload to the Service, including your essays, profile information, and notes. By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service to you.

6.2 AI-Generated Content

Content generated by our AI agents is provided to you for your personal use. You may use, modify, and build upon this content freely for your scholarship applications.

6.3 Our Intellectual Property

The Service, including its design, software, AI agent prompts, features, and branding, is owned by Scholarship Suite and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service except as expressly permitted by these Terms.

7. Third-Party Services and Data Processing

The Service relies on the following third-party providers to deliver its functionality:

8. Email Communications

8.1 Deadline Reminders

If you opt in to email reminders (enabled by default), the Service will send you daily emails about upcoming scholarship deadlines. You may disable these at any time through your account settings.

8.2 Transactional Emails

We may send you transactional emails related to your account (e.g., email confirmation, password reset). These are necessary for the operation of the Service and cannot be opted out of while maintaining an active account.

9. Account Suspension and Termination

9.1 By You

You may stop using the Service at any time. To delete your account and all associated data, contact us at support@scholarshipsuite.com.

9.2 By Us

We reserve the right to suspend or terminate your account, without prior notice, if you violate these Terms, engage in fraudulent or illegal activity, abuse the Service or its AI features, or create risk or legal exposure for us.

9.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our data retention practices described in the Privacy Policy.

10. Limitation of Liability

10.1 Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

10.2 Limitation of Damages

To the maximum extent permitted by law, in no event shall Scholarship Suite, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of scholarship opportunities, missed deadlines, rejected applications, academic integrity violations arising from misuse of AI-generated content, loss of data, or loss of profits or revenue.

10.3 Cap on Liability

Our total aggregate liability shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Scholarship Suite and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service, your violation of these Terms, content you submit, or your misuse of AI-generated content.

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal legal action, you agree to first attempt to resolve any dispute informally by contacting us at support@scholarshipsuite.com.

12.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware.

12.3 Jurisdiction

Any legal action arising out of these Terms shall be brought exclusively in the state or federal courts located in Delaware.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Scholarship Suite regarding your use of the Service. If any provision is held to be unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision shall not constitute a waiver.
